How Institutional and Governance Conditions Shape Corporate Financing Structures and Performance in Emerging Markets
Main Article Content
Abstract
This paper examines the determinants, financing choices, and performance implications of capital structure in emerging markets. The literature shows that corporate financing decisions are shaped by the interaction of firm-specific characteristics, institutional quality, macroeconomic conditions, ownership structures, governance mechanisms, information asymmetry, and access to financial markets. Particular attention is given to debt maturity, bank versus market-based financing, financing constraints among small and medium-sized enterprises, and emerging alternative financing channels. The reviewed evidence also indicates that the relationship between leverage and firm performance is heterogeneous rather than universal. Debt can generate disciplinary and financing benefits under favorable institutional and governance conditions, but excessive leverage, short debt maturities, financial distress, and macroeconomic instability can weaken profitability and firm value. The literature additionally demonstrates that sectoral characteristics, ownership structures, sustainability strategies, and legal institutions influence the consequences of financing decisions. Overall, the findings support a contextual interpretation of capital structure in which financing policies reflect both internal corporate characteristics and the external financial and institutional environment. The paper therefore emphasizes the importance of considering financing composition, maturity, governance, institutional conditions, and firm heterogeneity when examining corporate financial behavior in emerging economies.
